MEMORANDUM OF UNDERSTANDING
Between
Caregivers Asha Society
and
HUMAN Network for Health and Humanitarian Affairs
1. Parties
This Memorandum of Understanding (“MoU”) is entered into on this 25th day of May 2026 by
and between:
Caregivers Asha Society (“CAS”), an organization engaged in health, caregiving, and
humanitarian support initiatives, and developer of the “CareAsha” application;
and
HUMAN Network for Health and Humanitarian Affairs (“HUMAN”), an organization operating
in the field of health and humanitarian affairs in Iraq.
CAS and HUMAN may hereinafter individually be referred to as a “Party” and collectively as the
“Parties.”
2. Purpose
The purpose of this MoU is to establish a collaborative partnership between the Parties for the
use, localization, and translation of the “CareAsha” application in Iraq.
Under this collaboration:
● CAS agrees to allow HUMAN to use the CareAsha application free of charge in Iraq for
humanitarian and healthcare-related purposes.
● HUMAN agrees to support the translation and localization of the application into Kurdish
and Arabic languages for use by communities and healthcare stakeholders in Iraq.
● The Parties aim to improve accessibility to caregiving and healthcare support tools for
Arabic- and Kurdish-speaking populations.
3. Scope of Collaboration
The collaboration may include, but is not limited to, the following activities:
3.1 Responsibilities of Caregivers Asha Society
CAS shall:
● Provide access to the CareAsha application for use in Iraq free of charge;
● Share necessary technical materials, language files, and translation support resources
with HUMAN;
● Provide reasonable technical guidance related to implementation and localization;
● Retain ownership and intellectual property rights related to the CareAsha application.
3.2 Responsibilities of HUMAN
HUMAN shall:
● Coordinate and undertake translation of the CareAsha application into Kurdish and
Arabic;
● Ensure that translations are culturally and linguistically appropriate for users in Iraq;
● Promote and support the humanitarian and healthcare use of the application within Iraq;
● Share translated materials with CAS for integration into the application.
4. Intellectual Property
● The CareAsha application, including its source code, branding, design, and associated
intellectual property, shall remain the sole property of Caregivers Asha Society unless
otherwise agreed in writing.
● Translated content developed under this collaboration may be used by both Parties for
humanitarian and non-commercial purposes related to this MoU.
● HUMAN shall not sell, sublicense, or commercially exploit the application without prior
written consent from CAS.
5. Financial Arrangements
● This collaboration is undertaken on a non-commercial and humanitarian basis.
● Access to and use of the CareAsha application by HUMAN in Iraq shall be provided free
of charge.
● Each Party shall bear its own costs unless otherwise mutually agreed in writing.
6. Confidentiality
Both Parties agree to maintain confidentiality regarding any sensitive technical, operational, or
organizational information shared during the course of this partnership, except where disclosure
is required by law or mutually agreed upon.
7. Duration and Termination
● This MoU shall become effective upon signature by both Parties and shall remain valid
for a period of three years unless terminated earlier by either Party.
● Either Party may terminate this MoU by providing thirty (30) days written notice to the
other Party.
● Termination of this MoU shall not affect activities already underway unless mutually
agreed otherwise.
8. Non-Binding Nature
This MoU reflects the intentions of the Parties to collaborate in good faith and does not create a
legally binding partnership, joint venture, or employment relationship unless specific binding
provisions are separately agreed in writing.
9. Amendments
This MoU may be amended or modified only through written agreement signed by authorized
representatives of both Parties.
10. Governing Principles
The Parties agree to work together in the spirit of humanitarian cooperation, mutual respect,
inclusiveness, and equitable access to healthcare and caregiving resources.
